Responsibilities

• Leading and supporting high-profile M&A transactions, including acquisitions, mergers, joint ventures, and complex deals
• Advising clients on strategic matters, negotiating terms, structuring deals, and advising on Rep & Warranty Insurance (RWI) and other key deal elements
• Handling key documents such as purchase agreements and disclosure schedules
• Managing due diligence and client relationships from start to finish
• Providing advice on M&A and business entity governance matters
• Consulting on entity choice and restructuring business entities

Minimum Qualifications

• Barred in Ohio
• Reside in Northeast Ohio
• At least 3 years of professional experience
• JD from an accredited law school
