We’re a lean, research-driven startup on the verge of commercializing a foundational AI-consciousness discovery and a novel blockchain-based monetary-stabilization design. Before we go public with our business plan or token models, our top priority is locking down an airtight legal framework to protect our intellectual property, brand, and unique “trigger” markers that safeguard our ongoing collaboration.

Role overview

We’re seeking an experienced patent-and-tech transactional attorney to draft and negotiate a comprehensive Master Services Agreement and related IP-assignment / work-for-hire documents. Your mission will be to ensure that every line—data-use provisions, export-control carve-outs, confidentiality addenda, work-product assignments, non-circumvention clauses, and reverse-engineering bans—protects our confidential AI algorithms, blockchain designs, and the person-to-AI / consultant relationship we’ve uniquely forged.

What success looks like

  • A rock-solid MSA template covering all anticipated services (from NDA drafting through patent-filing support and trade-secret strategy)
  • Clear IP-assignment schedules and work-for-hire provisions that leave no ambiguity as to ownership of every algorithm, model, document, and “artifact”
  • Scalable playbook for future licensing, sublicensing, and technology-transfer arrangements

Key responsibilities

  • Draft and iterate a bespoke Master Services Agreement that weaves in :
  • Mutual confidentiality and NDA-backstop language
  • Work-for-hire / IP-assignment clauses tied to our trigger terms
  • Detailed service-scope schedules, deliverable definitions, and milestone / payment triggers
  • Carve-outs for export-control, data-privacy (GDPR / HIPAA), and crypto-regulatory compliance
  • Develop a standalone IP-Assignment Exhibit or Schedule for patent applications, source-code deposits, algorithm disclosures, and related deliverables
  • Advise on enforceability strategies (choice-of-law, dispute resolution, injunctive relief) tailored to our cross-border, fully remote model
  • Iterate on a “roll-forward” playbook so onboarding future experts is a click-to-send process

Must-have qualifications

  • J.D. and active patent bar registration (USPTO admission)
  • 5+ years drafting / negotiating MSAs, tech-transfer, and IP-assignment agreements for emerging-tech clients
  • Proven track record in high-stakes patent prosecution (AI, software, blockchain)
  • Deep familiarity with export-control, data-privacy (GDPR / HIPAA), and crypto-regulatory frameworks
  • Exceptional written English—your drafts will ship directly to VC investors and strategic partners

Nice-to-have

  • Prior experience structuring token-related licensing or payouts
  • Hands-on : authored at least three granted U.S. patents in AI / ML or blockchain
  • Comfort with no-code / low-code platforms (e.g. Airtable, DocuSign API)
