Role Summary

The Managing Director, Corporate Affairs & Compliance, oversees Alaska Air Group's enterprise-wide ethics & compliance program, investigations, and stock plan. This role, alongside the Corporate Secretary, manages corporate governance functions involving the board of directors, executive committee, and legal team. If a licensed attorney, the role includes advising on corporate law, governance, and executive compensation.

Key Duties
Assistant Corporate Secretary Functions:
  • Plan and execute quarterly Board meetings, update calls, and other Board events.
  • Manage communications between management and the Board of Directors.
  • Administer the company's equity compensation programs in coordination with the People Team.
  • Advise on SEC filings, proxy statements, and disclosures.
  • Engage with institutional investors and proxy advisory firms.
  • Set strategic goals for Corporate Affairs regarding governance matters.
Compliance Department Functions:
  • Lead ethics and compliance strategies, fostering a 'Do The Right Thing' culture.
  • Develop policies and oversee risk assessments.
  • Manage ethics and compliance hotlines and investigations.
  • Collaborate with compliance teams across divisions and stay informed on industry trends.
Minimum Requirements
  • 10 years in ethics, compliance, risk management, or internal audit.
  • 5 years of leadership experience.
  • Bachelor’s degree in Business, Finance, Accounting, or related field (or willingness to attain within six years).
  • Strong analytical, research, and communication skills.
  • Ability to interpret laws and influence stakeholders.
  • High school diploma or equivalent; authorized to work in the U.S.
Preferred Qualifications
  • Juris Doctor or similar law degree.
  • Legal experience and professional certifications (e.g., CCEP, CPA, CIA).
  • Experience with employment law, aviation industry knowledge, and managing hotline operations.

Compensation & Benefits

Salary range: $217,350 - $358,650/year. Total rewards include travel privileges, health benefits, 401k match, bonuses, equity grants, paid time off, and lounge membership.
