Job summary

Sorren, Inc. in the United States is seeking a seasoned Engagement Manager to lead financial due diligence and Quality of Earnings engagements for middle-market transactions.

Qualifications

  • Bachelor's degree in Accounting, Finance, or related field is required.

  • Strong GAAP knowledge and advanced Excel skills.

Position Summary
Key Responsibilities
Engagement Management & Project Execution
  • Manage day‑to‑day execution of financial due diligence and Quality of Earnings engagements, including project planning, staffing coordination, timeline management, budget tracking, and client communication.
  • Coordinate and manage multiple concurrent engagements while balancing priorities and deadlines.
  • Review team analyses, workpapers, and deliverables for accuracy, completeness, and consistency.
  • Identify key diligence issues, financial risks, and transaction considerations and communicate findings to engagement leadership and clients.
  • Drive projects to timely completion while maintaining exceptional client service and engagement quality.
Financial Due Diligence
  • Perform and oversee detailed financial analyses for acquisitions, divestitures, recapitalizations, mergers, and other strategic transactions.
  • Analyze financial statements, general ledger data, revenue trends, operating expenses, payroll information, customer and vendor data, and other transaction‑related information.
  • Assess profitability, earnings sustainability, quality of revenue, cash flow, working capital, and potential transaction risks.
  • Support buy‑side, sell‑side, lender, and other transaction advisory engagements through rigorous financial analysis and diligence procedures.
Quality of Earnings Analysis and Reporting
  • Prepare and review Quality of Earnings analyses and reports.
  • Identify and quantify normalized EBITDA adjustments, non‑recurring expenses, owner‑related adjustments, debt‑like items, and other matters affecting enterprise value.
  • Analyze working capital trends, customer concentrations, vendor concentrations, seasonality, and key operating metrics.
  • Develop clear schedules and narratives that communicate transaction findings and their impact on valuation and deal negotiations.
  • Ensure conclusions are appropriately supported and effectively communicated to clients.
Financial Analysis & Modeling
  • Develop and review transaction‑related analyses, including adjusted EBITDA schedules, net working capital analyses, revenue and margin trend analyses, forecasts, and scenario analyses.
  • Utilize Excel and other analytical tools to manage and analyze large datasets efficiently.
  • Assist clients and engagement leadership in evaluating transaction risks and opportunities through data‑driven insights.
Client Relationship Management
  • Lead discussions with clients, management teams, lenders, private equity sponsors, attorneys, and other advisors.
  • Present diligence findings in a clear, professional, and actionable manner.
  • Collaborate with professionals across advisory, tax, audit, valuation, and other service lines to support transaction execution.
  • Support ongoing client relationships and identify opportunities to enhance client service.
Team Development
  • Supervise, coach, and mentor associates and senior associates.
  • Review work product and provide timely feedback to support professional development.
  • Promote accountability, technical excellence, and consistent engagement quality.
  • Assist with recruiting, onboarding, and training initiatives.
Business Development & Practice Growth
  • Support proposal development, marketing efforts, and client presentations.
  • Participate in networking and business development activities.
  • Identify potential follow‑on service opportunities.
  • Contribute to the enhancement of TAS methodologies, tools, templates, and processes.
Qualifications
  • Bachelor's degree in Accounting, Finance, Business, or a related field required.
  • CPA preferred; CFA or MBA viewed favorably.
  • 5-8 years of relevant experience in transaction advisory services, financial due diligence, Quality of Earnings, public accounting advisory, investment banking, valuation, or related M&A services.
  • 1-3 years of supervisory experience managing engagement teams and reviewing work products.
  • Strong knowledge of GAAP, normalized EBITDA adjustments, working capital analysis, revenue recognition, accrual accounting, and transaction‑related accounting concepts.
  • Advanced Excel and financial analysis skills.
  • Strong analytical, problem‑solving, and project management abilities.
  • Excellent written and verbal communication skills.
  • Experience managing multiple projects and deadlines in a fast‑paced environment.
  • Experience serving middle‑market companies, private equity firms, lenders, or strategic buyers preferred.
  • Ability to travel occasionally based on client and transaction requirements.
Preferred Skills
  • Experience in public accounting advisory, transaction advisory, consulting, corporate development, investment banking, or other M&A-related environments.
  • Experience performing buy‑side and sell‑side Quality of Earnings engagements.
  • Familiarity with purchase agreements, working capital mechanisms, debt‑like items, and transaction structuring concepts.
  • Experience with large datasets, ERP systems, data analytics tools, and visualization software.
  • Familiarity with AI‑enabled productivity and transaction advisory tools.
  • Demonstrated ability to build client relationships and contribute to business development initiatives.
