Responsibilities:
- Advise clients on the federal income tax consequences of corporate and shareholder transactions, including mergers, acquisitions, dispositions, and reorganizations, with emphasis on consolidated return regulations.
- Lead engagement teams in planning, executing, and delivering M&A tax consulting projects such as ownership change analyses, tax basis studies, E&P studies, transaction cost analyses, and group restructurings.
- Research and analyze tax issues related to corporate and consolidated returns, and prepare technical memoranda, tax opinions, and private letter rulings.
- Collaborate on developing best practices and tools to improve service offerings.
- Train and develop staff and senior team members on tax laws, engagement processes, risk management, and business development.
- Work with leadership on go-to-market strategies to achieve growth goals.
Additional Responsibilities for Senior Manager:
- Identify new marketplace opportunities and grow the tax practice.
- Manage a portfolio of clients and serve as the primary contact.
Qualifications:
- Minimum five years of recent federal corporate tax experience, including extensive section 382 ownership change analysis, preferably in a Big 4 firm.
- Bachelor's degree from an accredited university.
- Licensed CPA, EA, or JD/LLM; candidates have one year post-hire to obtain an approved credential.
- Deep knowledge of subchapter C, bankruptcy, insolvency taxation, and consolidated return regulations.
- Leadership ability and capacity to manage multiple engagements and teams.
- Strong analytical, research, and writing skills.
Additional Qualifications for Senior Manager include at least eight years of relevant experience and proven client relationship management skills.
