DRiV Incorporated seeks a Senior Manager, M&A Tax to optimize the company’s tax position related to mergers and acquisitions. You will report to the Global Head of Tax and work from Skokie, IL or Southfield, MI on a hybrid schedule.

You will advise on tax implications of transactions, international issues, and transfer pricing while working with cross-functional teams. The role requires 10+ years in tax within a multinational context, with strong expertise in federal, international and state

Qualifications

• 10+ years tax experience in public accounting or in a highly complex multinational environment.
• Expertise in federal, international and state tax is required.
• Detail-oriented with strong technical comprehension of tax law and accounting principles.
• Ability to communicate tax concepts clearly to non-tax stakeholders.

Responsabilités

• Oversee technical review of foreign inclusions, APB 23, Pillar II, and foreign tax credits for provisions.
• Supervise international tax form preparation for US consolidated returns (Forms 5471, 5472, 8858, 8865, 1118, 8990, 8992, 8993).
• Coordinate tax due diligence for potential M&A, evaluate tax exposures and transfer pricing.
• Provide strategic tax advice to structure M&A for optimal tax efficiency and risk mitigation.
• Collaborate with legal, finance and corporate development to implement tax-efficient structures.
• Review and negotiate tax terms in M&A documents, including indemnities and reps/warranties.
• Facilitate smooth post-acquisition tax integration of target companies.
