Qualifications

• Ability to independently draft and negotiate transaction documents.
• Strong academic performance; high class rank is a plus.
• Excellent writing, analytical, communication, and interpersonal skills.
• New York Bar admission required.
• J.D. from ABA-accredited law school.

Responsibilities

• Advise privately held and other business clients across a broad range of corporate matters, including M&A, VC transactions, financings, private placements, and securities matters.
• Draft and negotiate transaction documents and commercial agreements.
• Provide governance and general corporate counseling and assist with due diligence and transaction management.
• Collaborate with partners and clients in a midsize environment with direct client interaction.
