Job summary

Mercor is seeking a Corporate Development Expert for a remote contract role in the United States. The position requires ownership of end-to-end M&A work and direct involvement in live transactions, with emphasis on modeling, deal terms, and diligence.

You will build robust valuation models, craft IOIs/LOIs and term sheets, and prepare board materials and closing mechanics. The role calls for independent execution and sharp financial judgment in a fast-paced environment.

Qualifications

• 4+ years in-house corporate development or M&A role.
• Hands-on ownership of live transactions end to end.

Responsibilities

• Build valuation and merger models, including three-statement, DCF, comps, cap table, and equity waterfall.
• Draft and compare transaction terms such as IOIs, LOIs, term sheets, bid comparisons, deal structure, and consideration economics.
• Produce process and board materials, including management presentations, data packs, buyer universes, board and committee decks, closing mechanics, and funds flow.
• Run screening, diligence, and integration work, including inbound deal screens, diligence request lists, findings synthesis, synergy models, carve-out analysis, and 100-day plans.
• Work independently and asynchronously to deliver high-quality M&A exercises from mock files.

Assessment

• A merger model from a mock target file; a term sheet comparison; a board-ready recommendation memo.
