Job summary

Beacon Software seeks an ambitious M&A lawyer to lead day-to-day legal work on mergers and acquisitions. Reporting to the VP, Legal, you will own the deal lifecycle from LOI to post-closing, manage diligence, draft and negotiate core documents, and coordinate with internal teams and outside counsel.

This high-autonomy role rewards strategic thinking and AI-enabled efficiency. You will operate in a fast-paced environment within a private equity–style portfolio, supporting Beacon’s growth strategy

Qualifications

• J.D. from an accredited law school and admission to a bar (CA or Ontario preferred).
• 3–5 years of M&A experience at top-tier firm or in-house role, with drafting/negotiating purchase agreements.
• Proven ability to run an M&A transaction end-to-end including due diligence and liaising with business partners.
• Strong proficiency with AI tools for legal work and willingness to integrate AI into workflows.
• Solid knowledge of US/Canada M&A frameworks, governance, IP, employment, and contracts.

Responsibilities

• End-to-End Internal Deal Execution: manage all legal aspects from LOI through closing and post-closing, drafting and negotiating purchase agreements and related documents.
• Direct business partnership with Beacon’s investment and operations teams as embedded legal partner on each deal.
• Lead internal due diligence across corporate, commercial, employment, IP, litigation, and regulatory areas.
• Leverage AI to accelerate contract review, due diligence, and document drafting.
• Coordinate with external counsel on specialized matters and manage post-closing legal obligations.
