Qualifications

• 3–5 years of corporate transactional legal assistant experience.
• Corporate M&A experience is required.
• Strong understanding of corporate transactions, closings, and deadlines.
• Experience with DocuSign and document management systems such as iManage.
• Proactive, team-oriented attitude and ability to manage multiple transactions.

Responsibilities

• Support attorneys with M&A and corporate transactions from inception through closing.
• Coordinate and assist with transactional closings.
• Prepare and organize closing documents, signature packets, and closing binders.
• Send and track documents for electronic signature through DocuSign.
• Maintain deal checklists and track transaction status, deadlines, and deliverables.
• Coordinate Secretary of State searches and filings.
• Order corporate certificates and other organizational documents.
• Manage attorney calendars and critical transaction deadlines.
• Schedule meetings and coordinate communications with clients.
