Job summary

FBT Gibbons seeks a Corporate Associate in Indianapolis to join the Business Combinations and Capital Transactions Practice Group. The firm, a national full-service law practice, offers a hybrid in-office work arrangement and a collaborative, mentorship-focused culture.

The role involves leading deal teams through all phases of transactions, performing due diligence, drafting and negotiating agreements, and managing risk and closing processes alongside partners and clients.

Qualifications

• 3–5 years of experience in M&A and general corporate transactions.
• Experience representing clients on both buy-side and sell-side matters.
• Strong academic credentials and excellent written and verbal communication skills.
• Indiana bar admission or eligibility to waive in.

Responsibilities

• Managing and coordinating M&A due diligence, including issue identification and translating findings into practical, business-focused advice.
• Drafting and negotiating purchase agreements and related transaction documents, with responsibility for incorporating diligence findings and specialist input.
• Working directly with partners, clients, opposing counsel, and internal subject-matter specialists.
• Advising on risk allocation issues, including indemnities, escrows, caps, baskets, and representation and warranty insurance.
• Overseeing signing and closing processes, including checklists, execution, and post-closing matters.
