Qualifications

• J.D. from a top law school.
• Active Bar membership and good standing.
• Prior M&A experience at a leading law firm or in-house.
• Strong drafting, analytical, and organizational abilities.
• Ability to manage multiple transactions simultaneously in a fast-paced environment.
• Excellent client-facing communication and relationship-building skills.

Responsibilities

• Advise clients on a broad range of M&A and strategic corporate transactions.
• Draft, review, and negotiate purchase agreements and ancillary transaction documentation.
• Lead due diligence efforts and manage transaction execution through signing and closing.
• Develop and maintain transaction issue lists and identify key legal and business risks.
• Coordinate with clients, opposing counsel, and internal teams to drive deals forward efficiently.
• Play a significant role in negotiations and strategic decision-making throughout the transaction lifecycle.
