Job summary

Korn Ferry has partnered with a growing business to deploy capital through transactions and seeks a high-performing M&A Analyst to join the corporate development team and support evaluation and execution of strategic acquisitions.

The role blends accounting and financial due diligence with deal strategy, valuation, and execution, offering exposure to senior leadership and cross-functional collaboration across finance, legal, and operations.

Qualifications

  • 4–8 years of relevant professional experience in accounting, audit, and advisory related to M&A.
  • Experience supporting M&A due diligence, quality of earnings, and deal execution.
  • Strong understanding of GAAP, financial statements, and financial reporting.
  • Proficient in building and interpreting financial models and valuation analyses.

Responsibilities

  • Evaluate acquisition opportunities and perform detailed financial analysis of prospective targets.
  • Analyze historical and projected financial performance including revenue, EBITDA, margins, working capital, cash flow, and debt.
  • Perform and interpret Quality of Earnings and financial due diligence analyses.
  • Identify financial, accounting, operational, and commercial factors impacting transaction value.

Job description

Korn Ferry has partnered with a growing business looking to deploy capital through transactions.We are seeking a high-performing M&A Analyst to join a growing corporate development team and support the evaluation and execution of strategic acquisitions.

The ideal candidate will have a background that includes Public Accounting Audit followed by Transaction Advisory / Financial Due Diligence experience. This individual will bring a strong foundation in accounting and financial statement analysis, combined with hands-on experience evaluating businesses in the context of M&A transactions.

This role is ideal for a candidate looking to make the transition from transaction advisory into an in-house corporate development environment, with increased exposure to deal strategy, valuation, acquisition execution, and senior leadership.

Key Responsibilities
  • Evaluate acquisition opportunities and perform detailed financial analysis of prospective targets.
  • Analyze historical and projected financial performance, including revenue, EBITDA, margins, working capital, cash flow, and debt.
  • Perform and interpret Quality of Earnings and financial due diligence analyses.
  • Identify key financial, accounting, operational, and commercial considerations that may impact transaction value.
  • Build and maintain financial models used to evaluate acquisition opportunities, including:
  • Historical financial analysis
  • Forecasts and projections
  • Returns analysis
  • Sensitivity and scenario analysis
  • Assist with valuation analysis using methodologies such as DCF, comparable companies, precedent transactions, and transaction multiples.
  • Support management in assessing acquisition opportunities and preparing recommendations for senior leadership.
  • Coordinate financial diligence with external accounting firms, investment banks, legal advisors, consultants, and target-company management.
  • Review diligence reports and translate findings into clear transaction implications.
  • Assist with development of investment committee materials, management presentations, transaction summaries, and other executive-level deliverables.
  • Conduct industry, market, competitor, and company research to identify and evaluate potential acquisition targets.
  • Track transaction processes, diligence requests, deal timelines, and outstanding issues.
  • Support transaction negotiations by providing financial analysis and deal-related insights.
  • Assist with post-close analysis and integration activities where appropriate.
Required Qualifications
  • 4–8 years of relevant professional experience, with a career progression that includes:
  • Public Accounting — Audit
  • Current transition into Corporate Development / M&A
  • Demonstrated transaction advisory experience supporting M&A due diligence and/or Quality of Earnings engagements.
  • Strong understanding of GAAP, financial statements, accounting principles, and financial reporting.
  • Experience analyzing EBITDA, working capital, net debt, cash flow, and normalized earnings.
  • Strong financial modeling and advanced Excel capabilities.
  • Familiarity with M&A valuation methodologies and transaction processes.
  • Strong analytical and problem-solving skills with the ability to identify issues within complex financial information.
  • Excellent written and verbal communication skills.
