This is an opportunity to join Ethos Specialty, a Bishop Street Underwriters Company.

Ethos Specialty Insurance Services is a specialty Managing General Underwriter (MGU) that partners with carriers to underwrite tailored insurance programs across North America. Ethos benefits from deep capabilities and underwriting expertise and is able to match risk to multiple sources of capital, providing high-quality, independent underwriting services to its industry partners and capital providers. Ethos currently manages three programs in the M&A insurance space.

The M&A Underwriting Team – What do we do?

In connection with the purchase or sale of a company, the seller typically makes representations and warranties concerning the condition of the company and its assets, helping to allocate risks between buyer and seller. R&W insurance helps resolve risk allocation issues and reduces the need for escrow of transaction proceeds. The Ethos M&A underwriting team, after thorough underwriting, provides R&W insurance against breaches of representations and warranties in the transaction agreement. This simplifies negotiations and streamlines the consideration process.

Job Purpose

The Analyst will join Ethos and primarily assist the M&A Team and Senior Underwriters in coordinating the M&A underwriting process and providing transactional liability solutions. Responsibilities include:

  • Coordinating with legal counsel and building relationships with M&A brokers, attorneys, and deal principals.
  • Collecting and analyzing data related to submissions, deals, and policies.
  • Drafting invoices, expense agreements, indication letters, and other documents.
  • Reviewing submissions and summarizing key points for team review.
  • Assisting in underwriting R&W insurance for buy-side and sell-side clients by collaborating with brokers, advisors, and law firms.
  • Reviewing Purchase Sale Agreements, Disclosure Schedules, and Diligence Reports to identify risks and draft non-binding indication letters.
  • Managing Non-Disclosure Agreements, Non-Reliance Letters, and Access letters to access proprietary deal information.
  • Attending due diligence calls and transcribing deal-specific notes.
Competencies/Requirements
  • 1-2 years of experience in insurance, banking, or accounting.
  • Bachelor's degree required.
  • Strong understanding of financial statements.
  • Experience with large data sets.
  • Excellent written and oral communication skills.
  • Strong interpersonal skills and team collaboration.
  • Ability to work under tight timelines and adapt to a fast-paced environment.
  • Detail-oriented and independent worker.
  • Interest in M&A.
Technical Skills & Knowledge
