Job Details

The Legal Department at Cencora is growing! We are looking for a paralegal with strong aptitude and ability in credit, collection and bankruptcy matters as well as a capability and interest in commercial contracting. This role requires a comprehensive understanding of bankruptcy law, secured transactions, and loan documentation. The ideal candidate should also have several years of experience with general commercial contracting. Candidates must possess business savvy, be able to manage multiple projects, and work in a collaborative manner.

The position title is Legal Specialist II and reports to a designated managing attorney. In this role, the Legal Specialist II will provide credit and contracting support to various distribution business units of Cencora.

Primary Duties And Responsibilities

  • Responsible for reviewing bankruptcy dockets and the preparation and filing of proofs of claim
  • Analyze and prepare defenses to preference and avoidance actions
  • Review and negotiate amendments to credit agreements and subordination agreements
  • Prepare demand letters and oversee collections matters
  • Reviews, prepares, and evaluates agreements to ensure accuracy and interpret business unit commitments, with the goal of minimizing exposure to risk.
  • Works closely with subject matter experts to validate content of contracts to resolve inconsistencies in a timely manner
  • Assesses and identifies the need for legal review and engages attorneys as needed, by setting and managing continuously changing priorities as well as customer expectations
  • Assists attorneys with complex contracting issues
  • Provides project management assistance in connection with commercial contracting process
  • Prepares standard contract revisions
  • Supports inquiries from commercial teams regarding contracting policies, procedures, and contract status
  • Responsible for the creation and management of contract templates
  • Performs related duties as assigned

Experience And Educational Requirements

Requires expertise in credit and bankruptcy matters, commercial transactions, contract drafting as well as good writing, communication, and computer skills; normally requires a minimum of five (5) years of directly related experience with progressive levels of responsibility and other directly related experience. Experience in a financial institution, law firm or the legal department of a public or large company is desirable.

  • Ability to offer and implement ideas to improve efficiency and effectiveness of both self and team
  • Strong business acumen
  • Working knowledge of computers and software programs necessary to operate effectively with company systems and programs, especially MS Word, MS Excel, MS PowerPoint
  • Experience with contract management systems preferred but not required

  • This Salary Range reflects a National Average for this job. The actual range may vary based on your locale. Ranges in Colorado/California/Washington/New York/Hawaii/Vermont/Minnesota/Massachusetts/Illinois State-specific locations may be up to 10% lower than the minimum salary range, and 12% higher than the maximum salary range.
