Job summary

Cambridge Associates, a leading global investment firm headquartered in Boston, seeks a Legal Due Diligence Associate to review legal documents and contribute to the investment manager due diligence process. You will work in a team to assess fund structures, prepare risk summaries, and support negotiations and manager meetings.

Requirements include 2–5 years in securities, a JD or advanced degree, and strong written/oral communication.

Qualifications

  • Legal and investment industry experience required. JD preferred.
  • 2-5 years of relevant work experience within securities (hedge funds, mutual funds, private equity or venture capital) OR law firm paralegal.
  • 1-3 years of experience with an advanced degree.
  • Knowledge of investment vehicle structures and fund operations.
  • Excellent written and oral communication skills.
  • Analytical skills with skepticism and curiosity.
  • Highly organized with data integrity and timeliness.
  • Interpersonal skills and client-facing confidence.
  • Ability to work independently and in a team under time pressure.
  • Willingness to operate in a hybrid work environment.
  • US work eligibility without sponsorship.

Responsibilities

  • Review hedge fund, private equity and VC managers' legal documents and term sheets.
  • Prepare summaries of fund terms and risks and outline key provisions.
  • Coordinate with due diligence research teams on business risk and operational reviews.
  • Contribute to due diligence reports and negotiate terms with managers.
  • Participate in manager meetings as appropriate.
  • Contribute to initial manager assessment and synthesize data for internal/external use.
  • Prepare white papers and spreadsheets for research and marketing.

Job Description Summary:

The Legal Due Diligence Associate will be primarily responsible for reviewing legal documents and contributing to the firm’s investment manager investment due diligence process.

Job Description:

Responsibilities:

Work within a team conducting legal and operational due diligence on hedge fund, private equity and venture capital managers. Review investment fund organizational documents, including private placement memoranda, limited partnership agreements and articles of association. Prepare written summaries of fund terms and risks, identify key provisions of fund organizational documents, and outline related business and operational highlights and considerations. Coordinate with the investment due diligence research teams on investment manager business risk and operational due diligence reviews. Contribute to the due diligence reports and assist in the negotiation of terms. If appropriate, participate in manager meetings. Contribute to initial manager assessment process. Synthesize data and legal insight to prepare white papers and spreadsheets for internal research and external marketing purposes.

Qualifications:

  • Legal and investment industry experience required. JD preferred.
  • 2-5 years of relevant work experience within the securities environment (hedge funds, mutual funds, private equity or venture capital) OR within a law firm as a paralegal OR
  • 1-3 years of experience with an advanced degree
  • Knowledge of investment vehicle structures and investment strategies; Familiarity with the mechanics around private fund operations.
  • Excellent written and oral communication skills.
  • Solution oriented with strong analytical skills and the appropriate level of skepticism and curiosity.
  • Highly-organized and detail-oriented with the ability to prioritize multiple requests for information, while ensuring integrity, accuracy, completeness, and timeliness of data.
  • Excellent interpersonal skills and an ability to work well with and instill confidence in clients and colleagues at various levels of seniority.
  • Comfort working in a flat organizational environment.
  • Ability to work both independently and in a team under time pressure, and show interest in learning and utilizing AI platforms.
  • Positive, collegial, and professional, with the ability to collaborate effectively and contribute positively in a team-oriented environment.
  • Ability to meet tight deadlines, adapt to changing responsibilities, and take initiative and ownership of work
  • Willingness to operate in a hybrid work environment

Base salary range for this role:

Pay Range Minimum:

105000

Pay Range Maximum:

112000

In addition to the listed salary range, this position is eligible for an annual performance-based bonus and a comprehensive, competitive benefits package. Actual placement within the stated salary range will be determined based on factors such as skills, experience, and qualifications, as well as internal equity.
