Colonial Group in New York is seeking a Legal Counsel or Senior Legal Counsel to serve as lead counsel for a fast-growing lead generation business. You will advise on corporate affairs, commercial contracts, data privacy, marketing, IP, disputes, employment, compliance, and M&A.

You will manage and collaborate with the M&A team, develop templates, and supervise paralegals while working under General Counsel and VP, Legal Affairs.

Qualifikationen

• JD degree required.
• New York Bar in good standing.
• 2–5 years at a reputable law firm or in-house; in-house preferred.
• Experience drafting and negotiating commercial contracts required.
• Data privacy experience is a plus.

The Opportunity:

We’re seeking a Legal Counsel or Senior Legal Counsel to support our fast-growing lead generation business. You will serve as lead counsel to this business unit, under the authority and supervision of the General Counsel and VP, Legal Affairs, while also supporting other business units and departments.

In this role, you will manage and advise on a variety of legal matters, including corporate affairs, commercial contracts, data privacy, marketing, intellectual property, litigation/disputes, employment, compliance, and mergers and acquisitions (M&A).

Responsibilities:

• Draft, review, and negotiate various commercial agreements, including service, vendor, sales, and advertising agreements, and analyze and advise business units on specific clauses and issues in contracts.
• Serve as the business unit’s data privacy subject-matter expert, advising on complex privacy questions related to new and existing products and services.
• Act as a business partner by developing expertise in the products and services offered by the Company and assisting in negotiations.
• Develop and implement new technological solutions, leveraging AI and other tools, to enhance response time, efficiency, and quality of work product.
• Draft and review employment and freelance contracts, as well as advise on other employment-related matters.
• Provide support to other lawyers; collaborate with and supervise paralegals.
• Create new contract templates and update existing templates to ensure compliance.
• Manage various legal claims and litigation, including involving and managing external counsel if needed.
• Draft and revise website terms and privacy policies.
• Support the M&A team on acquisitions, including pre-acquisition documents (NDAs, LOIs, etc.), due diligence, drafting of closing documents, and post-acquisition integration/matters.

Requirements:

• JD degree.
• Member of the New York Bar in good standing.
• 2-5 years of experience at a reputable law firm and/or in an in-house legal department, with in-house experience preferred.
• Experience drafting and negotiating commercial contracts is required.
• Experience with data privacy will be considered an asset.
• Excellent verbal and written communication skills.
