Job summary

Ropes & Gray LLP in New York seeks an experienced Career Associate to support the Alternative Asset Opportunities Practice Group. The role focuses on fund investments, co-investments, secondary transactions and related governance matters for institutional investor clients.

The attorney will work independently, manage a high-volume client workflow, and develop templates and precedents while maintaining robust client relationships in a fast-paced asset management environment.

Qualifications

• Juris Doctor degree from an accredited law school and bar admission in good standing.
• Minimum of 5 years of relevant experience at a law firm and/or in-house asset management legal team.
• Strong drafting, legal analysis, organizational, and project management skills.
• Knowledge of fund investment, co-investment and secondary transaction documentation.

Responsibilities

• Provide day-to-day legal support for institutional investor clients, including confidentiality, subscription, transfer agreements, KYC/AML and investment structuring.
• Draft, review, and negotiate transfer and subscription agreements and other docs for alt asset transactions.
• Coordinate with corporate, tax, regulatory, and client teams to implement transactions and maintain records.
• Manage a steady pipeline of recurring matters, track deliverables and deadlines, maintain templates and workstreams.
• Identify opportunities to improve forms, build precedents, streamline workflows, and reduce risk.
• Apply sound legal judgment and strong drafting to deliver accurate work in a fast-paced asset management environment.
