Job summary

Meliora Law in New York, NY seeks an experienced attorney to lead corporate and M&A matters, advise clients, and drive growth for the firm.

You will serve as lead counsel on mergers, acquisitions, governance, contracts, and outside general counsel engagements, owning complex transactions from LOI through closing.

The ideal candidate has NY admission, 7+ years in corporate practice, strong drafting/negotiation, and client-service orientation; a hybrid work model is offered.

Qualifications

• J.D. from an accredited law school.
• Active admission in New York.
• 7+ years of corporate law experience.
• Significant experience independently leading mergers, acquisitions, and other sophisticated business transactions.
• Ability to manage transactions from letter of intent through closing, including due diligence, drafting, negotiations, coordination of advisors, and closing execution.

Responsibilities

• Independently managing mergers, acquisitions, divestitures, and other strategic transactions from letter of intent through closing.
• Leading due diligence, negotiations, transaction management, and closing processes.
• Drafting and negotiating purchase agreements, operating agreements, shareholder agreements, commercial contracts, employment agreements, and related documents.
• Advising business owners and management teams on governance, risk management, ownership transitions, and strategic growth initiatives.
• Serving as a trusted outside advisor to clients across a variety of industries.
• Managing client relationships and serving as a primary point of contact for client matters.
• Collaborating with attorneys across the firm’s tax, health care, commercial real estate, trusts and estates, and litigation practices.
• Participating in business development, thought leadership, and practice growth initiatives.
• Mentoring junior attorneys and contributing to the continued development of the practice.
