Job summary

Vistra Energy in Irving, Texas is seeking a seasoned in-house counsel specializing in employment and labor law. You will provide legal counsel, risk analysis, and training on employment matters and compensation issues.

You will advise on labor relations, union campaigns, bargaining agreements, grievances, arbitrations, and settlements; draft and negotiate employment agreements and benefit documents, including outsourcing and contractor arrangements.

Qualifications

• Juris Doctorate required and active Bar membership; eligible to become licensed in Texas within 12 months.
• Excellent verbal and written communication skills.
• Strong attention to detail and analytical thinking.

Responsibilities

• Provide legal counsel and risk analysis on employment and labor matters, including compensation and benefits.
• Advise on labor relations, union campaigns, bargaining agreements, grievances, arbitrations and settlements.
• Draft and negotiate personnel and benefits agreements, outsourcing, workforce transitions, and service contracts.
• Interpret and draft benefit plan documents and employment agreements; prepare severance and release documents.
• Advise Vistra management on minimizing claims and pursuing litigation when appropriate.
• Oversee outside counsel and guide strategy, policies and objectives; manage litigation exposure.
• Collaborate with HR and operations to ensure HR and labor compliance and provide day-to-day guidance.

Key Roles & Responsibilities

• Provide legal counsel, risk analysis and support, training to Vistra on a variety of employment and labor-related matters as well as compensation and benefits issues.
• Advise on all aspects of labor relations, including union campaigns, collective bargaining agreements, grievances, arbitrations, and settlements.
• Draft and negotiate terms of corporate transactions or agreements related to personnel or benefits issues, including outsourcing arrangements, workforce transition or engagement of contractors, and service provider contracts.
• Interpret and draft benefit plan documents.
• Draft employment agreements, releases, severance documents, and other labor/employment related documents on behalf of the company.
• Proactively advise Vistra management regarding ways to avoid or mitigate potential claims against the company and assert claims by Vistra.
• Make recommendations regarding the potential resolution of cases, including potential settlement as well as the litigation of legal proceedings against others.
• Manage unfair labor practice charges and proceedings before the NLRB.
• Supervise outside litigation counsel and provide guidance to such counsel with respect to Vistra’s strategies, policies, and objectives.
• Work with senior leadership, HR and operations to support compliance activities in HR and labor/employment areas.
• Provide day-to-day advice and counsel to HR partners and throughout the business.

Education, Experience, & Skill Requirements

• Juris Doctorate, at least one state Bar membership and ability to become licensed in Texas within 1 year.
• 4-5 years of substantial legal experience in labor law within a well-established law firm and/or corporate environment.
• Strong oral and written communication skills. Acute attention to detail.

Experience preferred in:

• Corporate/in‑house legal setting experience.
• Employment law experience.
• Employee compensation and benefits.
