Qualifications

• Relevant experience in debt finance or private equity finance
• Experience in sponsor-backed leveraged transactions and acquisition financing
• Ability to manage complex deal timelines and multiple stakeholders
• Strong drafting, negotiation, and analytical skills
• Bar admission in a U.S. state, California admission preferred or ability to obtain

Responsibilities

• Collaborate with private equity sponsors, direct lenders, and financial institutions on financing transactions
• Draft and negotiate loan documentation, including commitment letters, credit agreements, and security instruments
• Conduct legal due diligence and assist with deal structuring and closings
• Coordinate with internal teams and external parties to ensure seamless execution of transactions
• Advise clients on legal risks, mitigation strategies, and compliance issues related to finance agreements
