Job Overview:

Duties:

  1. Assist in the formation and structuring of private equity and venture capital funds
  2. Draft and review offering materials, limited partnership agreements, LLC operating agreements, and side letters
  3. Negotiate terms with investors and collaborate with stakeholders to close fundraising
  4. Advise clients on compliance with federal securities laws, including the Investment Company Act and Investment Advisers Act
  5. Provide counsel on operational aspects of fund management entities, including employment, governance, and internal structuring
  6. Handle matters involving investor relations, succession planning, and internal reorganizations of fund-related entities
  7. Support regulatory filings and compliance monitoring for fund clients

Requirements:
