Job summary

JW Michaels & Co. in New York seeks an Assistant General Counsel & Compliance Officer to join its expanding legal and compliance team. You will work directly with the General Counsel and Chief Compliance Officer across regulatory, governance, and contractual matters.

Ideal candidates hold a J.D., NY Bar, 3–8 years in asset management or financial services, and are proactive, business-minded with strong analytical and communication skills.

Qualifications

• J.D. from an accredited law school and NYS Bar admission.
• 3–8 years of relevant legal experience.
• Background in asset management or financial services.
• Investment Company Act / ’40 Act experience is a plus, but not required.

Responsibilities

• Advise on legal and regulatory matters related to investment management business.
• Draft and negotiate commercial agreements, including vendor agreements and NDAs.
• Review marketing materials and support ongoing compliance monitoring.
• Assist with regulatory filings, examinations, internal reviews, and compliance reporting.
• Advise on corporate governance and other general legal matters.
• Partner with Trading, Operations, Technology, and Client Services teams.
• Develop and maintain the firm's legal and compliance policies and procedures.
• Take ownership of projects and identify/address legal and compliance risks.
