Job Overview:
A highly regarded law firm is seeking a talented associate to join its Investment Funds Group in Salt Lake City. The role focuses on advising clients in the structuring, formation, and management of private investment funds, including private equity, real estate, credit, and venture funds. Candidates with experience in fund-related secondary transactions or GP stake sales are also encouraged to apply. Location:

Salt Lake City, UT

Duties:

  1. Advise clients on the formation and structuring of private investment funds and their management entities
  2. Draft and negotiate fund documents including limited partnership agreements, subscription documents, and offering materials
  3. Provide legal counsel on GP stake sales, secondary transactions, and fund restructurings
  4. Support clients through regulatory compliance matters relevant to fund operations
  5. Coordinate with tax, regulatory, and securities counsel on fund-related issues
  6. Assist with ongoing fund governance and investor relations matters

Requirements:

  • 2 to 6 years of experience in investment fund formation or general corporate transactional practice
  • Exposure to private equity, credit, venture capital, or real estate fund structures preferred
  • Experience in secondary transactions and GP stakes deals is a plus
  • Comfortable advising fund sponsors and institutional investors on fund operations and compliance

Education:

  • Juris Doctor (JD) from an accredited U.S. law school
  • Strong academic credentials required

Certifications:

  • Admission to the bar in at least one U.S. jurisdiction

Skills:

  • Strong drafting, analytical, and negotiation skills
  • Familiarity with the Investment Advisers Act and other securities regulations is a plus
  • Ability to manage multiple matters and meet tight deadlines
  • Client-service orientation with excellent communication skills
  • Team-oriented approach with the ability to work across practice groups
