Job Title Investment Banking Counsel- Capital Markets

Overview

We are seeking a Capital Markets attorney to join the Legal Department in our New York City office. You will join a team of attorneys responsible for providing legal support and legal risk management to Deutsche Bank’s U.S. Capital Markets businesses across a full range of debt and equity capital markets transactions (Debt Capital Markets (DCM), ECM and Leverage Debt Capital Markets (LDCM)).

What You’ll Do

Provide clear and concise advice to business units regarding capital markets transactions for a wide range of domestic and international issuer types and debt and equity products, including registered and 144A / Reg S bond offerings, IPOs and follow-on equity offerings and private placements

Review and advise on pre-transaction and transaction documents from initial pitch phase through closing

Work with colleagues in the Legal Department and Compliance in the U.S. and overseas to coordinate advice regarding transactions and related matters

Assisting with policy and guideline formulation and delivering related training on topical issues to the Legal Department and business units

Create, maintain, and update legal form templates for capital markets matters

How You’ll Lead

Actively manage legal, regulatory and reputational risk issues and work with business units and legal billing group to manage outside legal counsel engagements and related costs and expenses

Skills You’ll Need

An active State Bar membership and relevant capital markets experience at a major law firm and / or global investment bank

Experience representing broker-dealers on capital markets transactions. Federal securities law expertise, including familiarity with Securities and Exchange Commission regulations relevant to capital markets transactions

Skills That Will Help You Excel

Qualified lawyer, in good standing with the New York State Bar

Strong analytical, organizational, multi-tasking and prioritizing skills

Capacity to assume responsibility for your own workload from an early stage

Ability to appropriately weigh legal risk, reputational and commercial issues in solving sophisticated legal problems

Excellent verbal, written and interpersonal communication skills

It is the Bank’s expectation that employees hired into this role will work in the New York, NY office in accordance with the Bank’s hybrid working model.

The salary range for this position in New York, NY is $170,000 to $254,500. Actual salaries may be based on a number of factors including, but not limited to, a candidate’s skill set, experience, education, work location and other qualifications. Posted salary ranges do not include incentive compensation or any other type of remuneration.
