Overview: Our client seeks an attorney responsible for M&A and healthcare transactions work, including strategic affiliations, JVs, and divestitures

Company: Our client is a hospital system

Experience: Minimum of 5-10 years of relevant in-house healthcare legal experience

Location: Remote

Responsibilities Include:

Client is seeking a highly skilled transactional attorney to join its in-house legal team on a contract-to-hire basis. The attorney will provide legal support for mergers, acquisitions, affiliations, joint ventures, and other complex business transactions. This position is ideal for an experienced attorney with healthcare and nonprofit experience who thrives in a mission-driven, collaborative environment and can step in to support high-priority strategic initiatives.

  • Serve as transactional counsel on M&A and strategic projects, from initial structuring and due diligence through closing and integration
  • Draft and negotiate healthcare transactions documents, including purchase agreements, joint venture and affiliation agreements, term sheets, and NDAs
  • Lead and coordinate legal due diligence efforts and assess legal and regulatory risks
  • Collaborate with internal legal colleagues, operational leaders, and outside counsel to ensure alignment with legal, business, and mission objectives.
  • Advise on regulatory and compliance considerations related to healthcare transactions (e.g., Stark Law, Anti-Kickback Statute, HIPAA, and tax-exempt organization requirements). Provide counsel on regulatory compliance
  • Support and advise business teams on legal risks and opportunities as related to entity structuring and healthcare delivery models
  • Provide valued, strategic, and practical legal advice to executive leadership
  • Continually develops and is recognized for expertise in healthcare law
  • Manage outside counsel relationships for complex transactions
  • Minimum five to ten years of relevant in-house healthcare legal experience.

Qualifications Include:

  • Extensive experience in healthcare transactions: minimum of 5-10 years of relevant in-house legal experience specifically in healthcare transactions with a proven track record in handling M&A, JVs, and affiliations within the healthcare sector.
  • Healthcare facility experience: experience working directly with facilities on deals is required
  • Expertise in Regulatory Compliance: deep understanding of healthcare regulations, including Stark Law, Anti-Kickback Statute, HIPAA, and tax-exempt organization requirements.
  • Strong Drafting & Negotiation Skills: proficiency in drafting and negotiating complex healthcare transaction documents such as purchase agreements, JV agreements, affiliation agreements, term sheets, and NDAs.
  • Credentials: JD and active bar membership in good standing with the ability to work full-time in this contract capacity.

Pay Range: $115/hour
