Job description

Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for an Interim Senior Counsel, Technology Transactions (100% Remote, National) with a focus on procurement, technology agreements and negotiating and drafting complex third party supplier agreements.

Overview: Our client is seeking an Interim Senior Counsel, Technology Transactions fulltime (40 hours) for 3+ months to handle re-negotiating procurement and technology contracts due to an acquisition. These will be master level agreements like master services agreements, online services agreements, trading platform agreement that tend to be on supplier paper.

Company: Family owned Entertainment Company

Experience:

• 7+ years experience focused on complex procurement transactions with a focus on vendor agreements, SaaS agreements, Cloud based agreements, online service agreements, trading platform agreements and master service agreement.
• Privacy experience and CIPP certification a plus.
• Technology Transactions experience.
• Experience with complex deal making.
• Experience assessing and memorializing risk.
• Experience working with a CLM (Contract Lifecycle Management) tool.
• Proven ability to manage a large number and variety of mission-critical projects, working independently and collaboratively.
• Exceptional written and verbal communication skills.
• Must be swift and can think through matters without guidance.

Location: 100% Remote, ability to work East Coast hours and with Europe on occasion.

Responsibilities Include:

• Draft and negotiate complex technology transaction contracts with vendors, strategic partners, and subcontractors.
• Responsible for drafting and negotiating contracts with client’s third-party service providers for a wide variety of services and products, including, but not limited to, master services, online hosting platforms, outsourcing, consulting, and cloud based services.
• Work with multiple stakeholders to ensure that all legal, regulatory, data security, privacy, and related risks are appropriately identified and addressed in third party supplier contracts.
• Advise on Privacy issues and GDPR

Qualifications Include:

• J.D. degree and membership in good standing in at least one state bar
• 100% Remote
• Full time, 40 hours per week
