Major, Lindsey & Africa’s Interim Legal Talent group is seeking an Interim Mergers & Acquisitions and Emerging Companies & Venture Capital Attorney for an immediate opportunity.

Overview: MLA is looking for a strategic, business-oriented M&A and EC/VC Attorney to join our client’s law firm practice. The ideal candidate will have experience advising clients across various industries on all aspects of M&A, emerging growth, and venture capital financing. This role involves advising startups and high-growth companies through all stages of their lifecycle. A client-focused mindset and the ability to work in an innovative environment are essential.

Company: Boutique law firm with an affiliated technology company

Experience: 10+ years leading M&A and EV/CV transactions within a top-tier law firm

Location: REMOTE

Responsibilities:

1. Lead M&A transactions, including due diligence, drafting, structuring, and negotiating agreements
2. Advise emerging growth companies throughout their lifecycle—from formation and seed financing to exit
3. Represent clients such as venture capital firms and strategic investors in equity financing and convertible note/SAFE investments
4. Draft and negotiate stock purchase agreements, asset purchase agreements, merger agreements, and related documents
5. Advise clients on investor relations, earnings announcements, press releases, investor communications, as well as equity compensation, corporate governance, regulatory compliance, and risk management

Qualifications:

1. J.D. from an accredited law school; licensed to practice in the U.S.; in good standing with a state bar
2. 10+ years of experience in M&A and venture capital transactions at a top-tier law firm
3. Proven ability to draft and negotiate complex M&A agreements, including equity transactions, asset purchases, insurance, convertible notes/SAFE investments, and preferred stock financings
4. Strong background in corporate law, venture capital, and emerging technologies
5. Strategic thinker with an entrepreneurial mindset interested in working with innovative, high-growth companies
6. Detail-oriented with strong organizational and project management skills
7. Ability to work independently and collaboratively in a fast-paced environment

Pay Rate: $110 - $120/hour
