Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for an Interim ERISA Attorney.

Overview: We are looking for an interim ERISA Attorney.

Company: AmLaw 100 Firm.

Experience: Minimum of 5 years, AmLaw ERISA, specifically with the M&A due diligence.

Location: REMOTE

The successful candidate will support ERISA due diligence in M&A and other corporate transactions, providing expert legal guidance and support in the following areas, for example:

Mergers & Acquisitions:

  • Serve as the lead benefits attorney, providing employment, compensation, and benefits legal support for transactions, including tender offers, divestitures, and integrations, with a specialization in international deals.
  • Coordinate teams of HR professionals in benefits, employment, and compensation due diligence, as well as employee onboarding and transfer processes, including TUPE consultations from both buy and sell sides.
  • Advise and coach senior executives, corporate development leads, and other deal team members on employee-related negotiations, including non-compete and retention arrangements and risk assessments.

Executive Compensation:

  • Advise senior management on corporate governance and legal aspects of executive compensation plans and arrangements, including the impact of Dodd-Frank, Nasdaq, NYSE, ISS, and Glass Lewis standards.
  • Prepare CD&A and compensation tables for proxy statements and other SEC executive compensation disclosures.
  • Provide support for board and compensation committee meetings.
  • Advise on senior executive employment, retention, and separation arrangements, as well as nonqualified deferred compensation plans and other Code Section 409A compensation matters.

Equity Compensation:

  • Advise and support the stock administration team on domestic compliance matters, annual focal and executive focal grants, monthly grant processes, and stock exchange and securities filings for public and private companies.
  • Possess experience in fund and private equity compensation models, including profits interests and other partnership equity.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the bar in at least one U.S. jurisdiction.
  • Extensive experience in ERISA, executive compensation, and equity compensation.
  • Proven track record in handling M&A transactions and providing legal support for employment, compensation, and benefits matters.
  • Strong understanding of corporate governance and SEC executive compensation disclosure requirements.
  • Excellent communication and interpersonal skills, with the ability to advise and coach senior executives and deal team members.

Top 3-5 Requirements/Non-Negotiables (OBJECTIVE SKILLS or FACTS, not soft skills)

  • Juris Doctor (JD) degree from an accredited law school, 5+ years experience.
  • Admission to the bar in at least one U.S. jurisdiction.
  • Extensive due diligence experience in ERISA, executive compensation, and equity compensation in connection with M&A and other corporate transactions.
  • Proven track record in handling M&A transactions and providing legal support for employment, compensation, and benefits matters.

Pay Rate: $100/hour.
