Job description

Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for a Temporary Part-Time (20-30 hours per week) Commercial Contracts Attorney with Technology Contracts Experience.
Overview: Major, Lindsey & Africa is seeking a Commercial Contracts Attorney with 5+ years of experience in Client Service Agreements, MSA’s, NDA’s and other Commercial Contracts. Ideal candidates will have experience with Hardware and Software Agreements
Company: An RFID Technology Company
Experience: At least 6+ years of experience in Commercial Contracts with a focus on Hardware Agreements.
Location: REMOTE. NYC Preferred.
Responsibilities Include:

  • You will draft and negotiate commercial contracts, including master services agreements, software licenses and other technology-related agreements.
  • You will draft and negotiate various other types of commercial contracts, including other customer documentation, procurement agreements, consulting agreements, non-disclosure agreements, data protection, and other commercial agreements.
  • You will identify risks related to commercial agreements and provide practical, responsive advice to facilitate timely resolution, balancing intense commercial imperatives with the protection of the long-term corporate risk profile.
  • Manage multiple negotiations and manage contract review pipeline, effectively prioritizing issue escalation and resolution, as well as manage numerous complex projects simultaneously under tight deadline pressure.
  • You will support on other legal matters and projects as needed, including corporate, equity and employment matters.
  • You will enable the business by creating and maintaining templates, trackers, and developing policies, procedures and training, as needed.
  • You will manage and work with external counsel, as appropriate, and assist in tracking legal spend against budget.

Qualifications Include:
  • A minimum of 5 years legal experience as in-house counsel or related law firm practice
  • Extensive experience drafting and negotiating commercial contracts
  • Experience with corporate governance, cap table management and/or employment law a plus
  • Experience at tech companies preferred; experience at a hardware company ideal
  • Positive and approachable demeanor and exceptional interpersonal, communication and collaboration skills.
  • Excellent ability to grasp legal and business issues quickly, balance risks, exercise sound judgment and provide creative, practical, constructive and timely counsel in a growing, dynamic, and fast-paced business environment.
  • Strong attention to detail and analytical skills


Pay Range: $90-$100/hour
