Job summary

Nearwater Capital is seeking an experienced finance lawyer to join its Legal team in New York. You will negotiate and close financings from term sheet through funding, work directly with Investment and Origination teams, and advise on complex structured transactions for leading financial institutions.

You will partner with Compliance, Credit, and Risk, manage outside counsel, and ensure documentation standards and regulatory compliance across deals. The role is on-site in NYC.

Qualifications

• 5+ years drafting and negotiating financing transactions.
• Experience negotiating a variety of financing structures including repo, stock loan, and TRS with ISDA docs.
• Understanding of rating agency structured financing requirements.
• Clear written and verbal communication with internal teams, clients, and counterparties.
• Law degree and qualification to practice as in-house counsel in the State of New York.
• Comfort working on-site in the New York office.

Responsibilities

• Negotiate financings with business groups and clients, from term sheet through funding.
• Draft and negotiate ISDAs and related documentation.
• Serve as the front-line desk lawyer for the Investment and Origination teams on new originations.
• Partner with Compliance, Credit, and Risk on deal terms and approvals.
• Manage outside counsel on transactions.
• Maintain the firm’s documentation standards and transaction compliance across deals.
• Give commercial, solutions-oriented advice that balances legal risk with business objectives.
