Job summary

Nearwater Capital, LLC is seeking an experienced finance lawyer to join its Legal team in New York. You will work directly with the business on live financings, negotiating term sheets through funding and drafting ISDA-related documents.

You’ll partner with Compliance, Credit, and Risk, manage outside counsel, and ensure documentation standards across deals while balancing legal risk with business objectives. This is a high-impact, on-site role in NYC.

Qualifications

• At least 5 years of drafting and negotiating financing transactions (repo, stock loan, TRS) at a top law firm or in-house.
• Strong capital markets and securities laws experience.
• Experience negotiating ISDA documentation and related agreements.
• Law degree and license to practice law in New York; in-house counsel eligibility.
• Willingness to work on-site in the New York office.
• Experience with rating agency structured financing requirements.

Responsibilities

• Negotiate financings with business groups and clients using the firm’s form documentation.
• Draft and negotiate transaction documents from term sheet through funding, including ISDAs and related documentation.
• Serve as the front-line desk lawyer for the Investment and Origination teams on new originations.
• Partner with Compliance, Credit, and Risk on deal terms and approvals.
• Manage outside counsel on transactions.
• Maintain the firm’s documentation standards and transaction compliance across deals.
• Give commercial, solutions-oriented advice that balances legal risk with business objectives.
