Job summary

Confidential Careers in Los Angeles seeks a General Counsel to build and lead the legal function for a vertically integrated real estate development and private equity platform. This ground-floor role reports to executive leadership and spans development, capital markets, EB-5 financing, construction, and corporate operations.

The successful candidate will serve as principal legal advisor, manage outside counsel, structure transactions, and scale governance as the platform grows.

Qualifications

• J.D. and active California bar admission required.
• 12+ years in legal roles with significant CRE experience.
• In-house GC experience preferred.
• Experience with EB-5 financing and immigration-linked capital raising.

Responsibilities

• Advise the CEO and executive leadership across all entities; manage outside counsel; structure transactions; build legal infrastructure and governance.
• Lead legal strategy for real estate acquisitions, dispositions, joint ventures, and development agreements.
• Structure and negotiate financing transactions across construction loans, permanent financing, mezzanine and equity.
• Oversee EB-5 program, Regional Center compliance, investor agreements, and USCIS coordination.
• Oversee construction contracts, subcontractor agreements, liens, and risk allocation.
• Support insurance platform formation, licensing, and regulatory matters.
• Manage corporate governance, entity formation, and regulatory compliance across holding company and subsidiaries.
• Source and oversee outside counsel across transactional, regulatory, immigration, tax, and litigation matters.
• Build contract templates, approval workflows, governance tracking, and document management.
• Advise on employment matters, vendor contracting, and general corporate risk.
• Lead responses to diligence from lenders, investors, and regulators.
