About the Role
We are seeking a strategic, hands-on in-house counsel to lead legal execution across our real estate, energy, and corporate acquisition efforts. This role is central to our continued expansion in bitcoin mining and data center infrastructure throughout North America, with a strong presence in Texas.
You will be responsible for structuring and negotiating land purchases, long-term leases, entity-level acquisitions (e.g. LLCs holding site assets), and a variety of energy-related contracts such as power purchase agreements (PPAs). The ideal candidate has deep experience with real estate and energy infrastructure transactions, and is comfortable working independently in a fast-paced environment with significant deal volume and complexity.
What You’ll Do
- Draft, negotiate, and close land purchase agreements, long-term leases, and easements.
- Lead entity-level acquisitions (e.g. LLC purchases) that hold real estate, energy, or mining assets.
- Manage legal diligence, title review, and transaction structuring for all site acquisitions and development deals.
- Collaborate with operations and construction teams on site access, utilities, zoning, and easement needs.
Energy & Utility Agreements
- Negotiate and review PPAs, interconnection agreements, and energy service contracts.
- Work with utilities, electric co-ops, and private developers, with a focus on behind-the-meter energy procurement.
- Provide guidance on utility coordination, infrastructure access, and regulatory issues related to energy and transmission.
Strategic Legal Support
- Structure deals for tax efficiency, including the use of Opportunity Zones, energy credits, and entity acquisition strategies.
- Advise leadership on legal risk, deal execution, and compliance with real estate and energy regulations.
- Create and maintain legal templates and processes for consistent contract management and internal review.
General Commercial & Operational Legal Support
- Draft and manage supporting contracts including NDAs, vendor MSAs, and service agreements.
- Manage external counsel relationships where necessary, with an emphasis on cost-effective legal execution.
- Monitor relevant legal and regulatory developments and ensure internal alignment with emerging requirements.
What You Bring
- J.D. from an accredited law school and licensed to practice in Texas and at least one U.S. jurisdiction.
- 6+ years of legal experience, including real estate, M&A, and energy contracting.
- Strong track record of negotiating and closing land acquisitions, leases, and infrastructure-related agreements.
- Familiarity with entity-level acquisition structures, particularly in asset-heavy industries.
- Experience drafting and negotiating PPAs, ideally in ERCOT or other deregulated markets.
- Ability to independently manage multiple complex deals from start to finish.
- Strong communication, risk assessment, and commercial judgment.
- Practical knowledge of construction law, easements, permitting, and land-use issues is a plus.
- Familiarity with Texas energy and real estate regulations preferred.
Nice to Have
- Experience working in or alongside bitcoin mining, renewable energy, or data center development.
- Understanding of energy tax credits, Opportunity Zone programs, and project finance strategies.
- Familiarity with ERCOT regulatory structure and interconnection processes.
