Job summary

Black Dragon Capital is seeking an experienced in-house counsel to provide expert legal guidance to the executive team and portfolio companies. The role requires a JD and 5+ years in corporate or tech PE environments, with strong negotiation and regulatory knowledge.

You will draft and negotiate contracts, oversee governance and IP matters, advise on mergers and other corporate transactions, and ensure compliance across the firm. This is a remote opportunity within the United States.

Qualifications

Responsibilities

What you will be working on:

ESSENTIAL DUTIESANDRESPONSIBILITIES

• Work withthe Black Dragon General Counsel to providelegal advice and guidance to the executive team andportfolio companies.

• Experience with commercial and technology contracts drafting, negotiation,and mitigating risks

• Background in technology, licensing, SaaS, privacy, IP.Lifecycle of product development

• Drafting, reviewing, and negotiating contracts and other legal documents.

• Managing litigation and coordinating with external legal counsel as needed.

• Overseeing corporate governance and ensuring adherence to corporate policies.

• Advising onmergers, acquisitions, and other corporate transactions.

• Managing intellectual property matters, including patents, trademarks, and copyrights.

• Handling employee relations and labor law issues.

• Developing and implementing legal strategies to protect the company's interests.

• Conducting legal research and staying updated on changes in laws that may affect the company.

• Providing support and management of compliance initiatives.

About You:

We are looking for an individual within-house legalexperience in a technology operating company who has experience dealingwith venturecapital and/orprivateequityand their expectations.This position offers an exciting opportunity to work with some of theindustriespioneers andbeing a part ofa fast-growingportfoliocompanies.
