LHH Recruitment Solutions is assisting a prominent national law firm in Seattle to hire a Corporate Paralegal. Join the Business and Transactions team, supporting mergers and acquisitions, venture capital financings, and governance matters across offices.

The role requires 4+ years of paralegal experience in corporate/transactional matters, strong drafting and organizational skills, and the ability to manage multiple deadlines with minimal supervision.

Qualifications

• 4+ years of paralegal experience, with a strong focus on corporate or transactional matters.
• Experience supporting mergers and acquisitions and/or venture capital transactions preferred.
• Four-year degree and paralegal certificate preferred.
• Strong drafting, proofreading, research, and organizational skills.
• Ability to manage multiple deadlines with minimal supervision.
• Proactive with judgment to identify issues and propose solutions.
• Excellent written, verbal, and interpersonal communication skills.

Responsibilities

• Support attorneys with mergers and acquisitions, emerging companies, venture capital financings, and other corporate transactions
• Serve as a primary liaison among attorneys, clients, and other involved parties
• Draft, proofread, organize, and assemble transactional and closing documents
• Prepare corporate governance materials, financing documents, corporate approvals, and related agreements
• Coordinate due diligence and manage checklists, review documents, and disclosure schedules
• Develop and maintain closing checklists and monitor items through completion
• Coordinate transaction closings and post-closing filings
• Prepare and submit applications to state and federal regulatory agencies
• Respond to client requests and coordinate distribution of materials
• Maintain timekeeping, billing, and productivity records
• Collaborate with attorneys, paralegals, and staff across offices
