Qualifications

• Five years of recent experience in a law firm or corporate legal department is required.
• Bachelor’s degree, paralegal certificate, or equivalent education and experience is preferred.
• Notary (Florida Notary Public) or willingness to obtain one.

Responsibilities

• Assist with entity formations and governance documents for multiple states.
• Prepare and file formation and governance documents, including partnership agreements, operating agreements, annual reports, and bylaws.
• Assist with business sales, mergers, acquisitions, and reorganizations; draft related documents.
• Conduct UCC and lien/judgment searches and filings; coordinate closing timelines.
