Job summary

VSolvit LLC is seeking an experienced Corporate Counsel, M&A to serve as a strategic advisor to the executive leadership team and lead execution of corporate development initiatives. Reporting directly to the CEO, you will quarterback complex buy-side and sell-side GovCon transactions from inception to integration, safeguarding and expanding our federal revenue portfolio.

In this in-house role, translate legal risk into actionable business intelligence for the C-suite, navigating FAR/DFARS, SBA

Qualifications

• Juris Doctor degree from an accredited law school.
• 8–12+ years of corporate transactional experience in GovCon.
• Deep knowledge of FAR, SBA size rules, CAS, and OCI.
• Experience with both BigLaw and in-house roles is preferred.
• Ability to obtain/maintain U.S. security clearance.

Responsibilities

• Lead buy-side and sell-side GovCon transactions from start to close.
• Assess regulatory risks and ensure DFARS compliance and contract governance.
• Coordinate novation packages with ACOs to transfer contracts legally.
• Advise executive leadership with risk and strategic implications.
• Manage external counsel to control spend and meet deadlines.
