Job summary

Dexis seeks a Project Attorney to support the U.S. International Development Finance Corporation's Office of the General Counsel. This role advises on the legal and policy aspects of DFC's equity investment program.

The position requires five years of professional legal experience, strong deal-structuring skills for multi-million-dollar transactions, and the ability to coordinate with lenders, sponsors, and investees worldwide. It is contingent on contract award.

Qualifications

• Graduate of an accredited law school with LL.B. or J.D.
• Current bar membership in a U.S. state, D.C., Puerto Rico, or territory.
• At least five years of full-time professional legal experience since admission to the bar.
• Two of four years of specialized experience at GS-14 level or equivalent.
• Experience advising on investments in direct equity or private equity funds in emerging markets.

Responsibilities

• Structure and document complex, multi-million-dollar international debt and/or equity transactions.
• Advise on transaction structures including equity, debt, and hybrid instruments.
• Serve as lead negotiator with borrowers, sponsors, and co-investors.
• Manage disbursements, capital calls, and monitor/reshape transactions globally.
• Analyze cross-border legal issues, collateral, intercreditor arrangements, and jurisdictional matters.
