Qualifications

• Three to six years of experience advising on global incentive and compensation arrangements.
• Experience with share-based plans and cross-border matters (M&A, spin-offs, divestitures, IPOs).
• Ability to draft memos, legal opinions, and client correspondence.
• Strong academic credentials and writing skills.
• Bar admission in the state of employment; major law firm experience is a plus.

Responsibilities

• Assist clients in designing, implementing, and maintaining global incentive and compensation arrangements.
• Advise on regulatory, tax, and securities issues related to cross-border compensation programs.
• Draft client communications, memoranda, and opinions; support in M&A and restructurings.
