Job summary

DLA Piper seeks an associate with at least two years of experience to join its Global Equity Group in San Francisco or Palo Alto. The role focuses on advising multinational clients on the structure, implementation, and administration of global equity compensation and incentive plans across jurisdictions.

You will work on executive compensation, cross-border employment matters, and complex corporate transactions.

Qualifications

• J.D. from an accredited law school is required
• LL.M. preferred for enhanced international practice
• Minimum 2 years of experience in executive compensation, employee benefits, or global equity at a law firm or Big Four

Responsibilities

• Advise U.S. and multinational companies on global equity compensation design and administration.
• Assist with international legal, tax, employment, exchange control, securities, and regulatory issues affecting equity awards.
• Draft and negotiate equity incentive plans, stock option/RSU/ESPP agreements, deferred compensation, and executive compensation documents.
• Support mergers, acquisitions, spin-offs, IPOs and other transactions involving employee stock plans.
• Conduct cross-border analyses and coordinate with local counsel to implement international equity programs.
• Advise on evolving global tax, securities, employment, and data privacy requirements affecting compensation.
