Job summary

Sol de Janeiro, headquartered in New York, seeks a Senior Legal Counsel to lead corporate governance, cross-border matters and contract strategy in a fast-growing beauty brand.

The role reports to the Head of Legal and involves implementing policy, leveraging AI-powered legal tools, and collaborating with global teams. Hybrid work is offered with a NY-based office presence.

Qualifications

• Bachelor’s Degree and J.D. from ABA-accredited law school.
• Bar admission in good standing, preferably New York.
• 5–7+ years of directly related legal experience.
• Experience implementing policies and projects across an international organization.
• Ability to multitask in a fast-paced environment with a commercial mindset.
• Ability to craft solutions for novel legal issues in a dynamic business.
• Hybrid work schedule: Remote + at least 3 days in NY Office.

Responsibilities

• Ensure compliance with applicable laws, regulations and rules.
• Support governance matters, including board/committee prep and entity filings.
• Lead corporate entity management and maintenance across jurisdictions.
• Lead adoption and optimization of legal tech tools and contract platforms.
• Contribute to design/development of corporate policies and programs.
• Provide counsel on legal matters and risk across the business unit.
• Stay updated on governance/regulatory changes and report to Head of Legal.
• Draft, negotiate and review diverse commercial agreements.
• Advise on cross-border structuring and regulatory requirements.

What You’ll Be Working On

• Ensure that the Company conducts its business in compliance with applicable laws, regulations and rules
• Support corporate governance matters, including board and committee meeting preparation, corporate resolutions, subsidiary management, and maintenance of legal entity records and filings across all jurisdictions
• Manage and oversee legal entity matters, including entity formations, dissolutions, registrations, organizational documents, and ongoing corporate maintenance
• Lead the adoption, implementation, maintenance and optimization of legal technology tools, including AI-powered legal solutions and contract management platforms, to drive efficiency and scalability within the legal function
• Participate in the design and development of corporate policies, procedures, best practices and programs required for a growing organization
• Provide counsel and guidance on legal matters, and on legal implications of all matters
• Keep abreast of ongoing governance and regulatory changes and report directly to the Head of Legal
• Provide legal advice, opinions and solutions regarding complex issues and risks relating to the on-going and expanding business by working closely with internal teams
• Draft, negotiate and review a broad range of commercial agreements, such as master services agreements, logistics and supply chain agreements, retail distribution agreements, and vendor agreements
• Support international growth and expansion efforts by advising on cross-border corporate structuring, local regulatory requirements and compliance frameworks to enable seamless operations across new and existing jurisdictions
• Deliver creative, timely, proactive and business-friendly advice and training in a fast-paced, competitive and evolving environment
• Work closely with all business units to address ongoing legal needs

Must Haves

• Bachelor’s Degree plus a J.D. from an ABA-accredited law school
• Member in good standing of a state bar, preferably New York
• Successful legal experience in top law firms or top CPG companies
• 5-7+ years of directly related work experience
• Proven ability to implement policies and projects across an international organization
• Ability to multitask in a fast-paced and results-driven environment
• Commercial mindset, with an agile and relationship focused approach
• Ability to creatively analyze and address novel issues and think outside the box
• Comfortable working a hybrid schedule (Remote + at least 3 days per week in our NY Office)

Salary Range

$175,000 - $200,000 USD
