Responsibilities

  • Provide legal support to Mizuho Capital Markets, Mizuho Securities USA LLC and affiliated U.S. and non-US entities with respect to mergers & acquisitions, structured notes and other structured cash and derivatives products and Fixed Income business lines concerning transactional and regulatory matters.
  • Advise on deal-contingent hedges and related swaps.
  • Analyze merger and acquisition related materials, including asset purchase agreements, NDAs and commitment letters.
  • Analyze credit agreements and other transaction documents concerning project financing transactions.
  • Advise on securities laws-related matters and provide dedicated coverage to existing structured note programs.
  • Manage outside counsel in various jurisdictions to assess probability of successful acquisition or debt financing closings in relation to deal contingent derivatives.
  • Work with the relevant business teams, support functions and US and non-US outside counsel to identify legal issues and solutions concerning various cash and derivatives structured transactions.
  • Respond to inquiries from business units and other departments regarding legal, credit or operational issues arising in the transaction documents and other related documentation or with respect to specific transaction terms; and
  • Other duties as assigned.

Job description

Legal counsel responsible for managing various operational and legal risks concerning structured fixed income transactions including deal contingent hedges.

Principal Accountabilities
  • Provide legal support to Mizuho Capital Markets, Mizuho Securities USA LLC and affiliated U.S. and non-US entities with respect to mergers & acquisitions, structured notes and other structured cash and derivatives products and Fixed Income business lines concerning transactional and regulatory matters, as well as other general legal matters;
  • Advise on deal-contingent hedges and related swaps;

Qualifications
  • Law degree from an accredited law school in the United States preferred
  • 3‑6 years experience at major bank or law firm
  • Member in good standing of the New York Bar
  • Excellent work ethic
  • Ability and desire to learn new concepts quickly
  • Understanding of financial markets and derivatives
  • Detail oriented and collaborative team player
  • Ability to prioritize and manage multiple projects and deadlines simultaneously
  • Capable of completing work independently
  • Excellent communication, organizational and presentation skills
Compensation and Benefits

The expected base salary ranges from $220,000.00 to $265,000.00. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, and, where applicable, certifications and licenses obtained. Market and organizational factors are also considered. In addition to salary and a generous employee benefits package, successful candidates are eligible to receive a discretionary bonus.
