Legal counsel responsible for managing various operational and legal risks concerning structured fixed income transactions including deal contingent hedges.
Responsibilities
- Provide legal support to Mizuho Capital Markets, Mizuho Securities USA LLC and affiliated U.S. and non-U.S. entities with respect to mergers & acquisitions, structured notes, other structured cash and derivatives products, and Fixed Income business lines concerning transactional and regulatory matters, as well as other general legal matters.
- Advise on deal-contingent hedges and related swaps.
- Analyze merger and acquisition related materials, including asset purchase agreements, NDAs, and commitment letters.
- Analyze credit agreements and other transaction documents concerning project financing transactions.
- Advise on securities law-related matters and provide dedicated coverage to existing structured note programs.
- Manage outside counsel in various jurisdictions to assess probability of successful acquisition or debt financing closings in relation to deal contingent derivatives.
- Work with relevant business teams, support functions, and U.S. and non-U.S. outside counsel to identify legal issues and solutions concerning various cash and derivatives structured transactions.
- Respond to inquiries from business units and other departments (trading/sales, market and credit risk, operations, finance and onboarding) regarding legal, credit, or operational issues arising in the transaction documents and other related documentation or with respect to specific transaction terms.
- Perform any other duties as assigned.
Qualifications
- Law degree from an accredited U.S. law school (preferred).
- 3‑6 years of experience at a major bank or law firm.
- Member in good standing of the NewYork Bar.
- Excellent work ethic.
- Ability and desire to learn new concepts quickly.
- Understanding of financial markets and derivatives.
- Detail-oriented and collaborative team player.
- Ability to prioritize and manage multiple projects and deadlines simultaneously.
- Capable of completing work independently.
- Excellent communication, organizational, and presentation skills.
Compensation and Benefits
The expected base salary ranges from $220,000.00 to $265,000.00. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, and, where applicable, certifications and licenses obtained.
In addition to salary and a generous employee benefits package, successful candidates are eligible to receive a discretionary bonus.
