Job description

Maslon is seeking a Corporate Trust & Litigation Associate to assist and advise clients in corporate trust representation, commercial financing transactions, debt restructuring, loan workouts, and creditor remedies in bankruptcy and insolvency proceedings. The role will be based in state or federal court with onsite requirement of a minimum of 3 days per week and up to 2 days remote.

Responsibilities

• Draft and negotiate transaction documents such as credit agreement amendments, ancillary loan documents, financing statements, holder notices, trust instruction petitions, forbearance agreements, and holding K documents.
• Review legal documents for accuracy and completeness and conduct thorough due diligence.
• Conduct legal research and stay abreast of developments in the Trust Indenture Act, the Uniform Commercial Code, and bankruptcy laws.
• Provide practical legal advice to trust officers, corporate trust departments, and business teams to minimize legal and operational risk.
• Respond to day‑to‑day client inquiries and provide strategic guidance to help clients navigate evolving legal landscapes.
• Work closely with law firm partners to ensure that matters are handled efficiently and in line with client expectations.

Requirements

• Juris Doctor degree.
• Minnesota Attorney License.
• Minimum of 6 months experience or equivalent coursework in:
• Chapter 7 bankruptcy proceedings.
• Financial and trustee‑related documents including indentures and credit agreements, ancillary loan documents, financing statements, holder notices, trust instruction petitions, and forbearance agreements.
• Financial due diligence, including UCC and tax lien searches, and collateral reviews.
• Legal research and writing.
• Experience working in a dynamic, fast‑paced, legal‑based environment.

Salary
