Job summary

Blank Rome is seeking an independent, detail‑oriented Paralegal to support attorneys in commercial finance and loan transactions. The role emphasizes proactivity, confidentiality, and teamwork, with hybrid work and onsite requirements three days per week.

You will coordinate with lenders, review documents, and manage closing checklists under the Director of Paralegal Services, reporting to firm leadership while delivering high‑quality service to clients.

Qualifications

  • 3+ years of paralegal experience in finance or bankruptcy.
  • Bachelor’s degree, paralegal certification, or equivalent work experience.
  • Experience in a legal environment or professional services.
  • Understanding of Article 9, lien searches, filing, and resolution processes.
  • Knowledge of UCC filing requirements and procedures.
  • Proficient in Microsoft Office and web-based conference tools.
  • Strong communication skills (verbal and written) with ability to develop relationships.
  • Meticulous attention to detail and accuracy.

Responsibilities

  • Prepare and organize UCC financing statements, amendments, and terminations; coordinate filings with state/local offices.
  • Assist with corporate authorizations: resolutions, incumbency certificates, good standing certificates.
  • Maintain transaction checklists and closing timelines; coordinate with counsel, lenders, and parties.
  • Draft and circulate signature pages; coordinate wire transfers and funding on closing day.
  • Conduct factual investigations and assist in due diligence and closings.
  • Collaborate with attorneys and clients on corporate transactions.
  • Perform other responsibilities as assigned.
  • Work additional hours as needed.

Job Overview

Blank Rome is seeking an independent, personable, and detailed Paralegal to support the attorneys in delivering the highest level of service to internal and external clients alike on commercial finance and loan transactions. As a contributing team member, the Paralegal is proactive in balancing multiple work demands, taking personal responsibility for the quality and timeliness of their work and maintaining client and firm confidentiality. The Paralegal maintains a professional demeanor and focus and seeks to maximize team contribution and minimize disruptions to the workday.

This role has a hybrid working arrangement. Potential candidates must live within commuting distance of a Blank Rome office to be onsite 3 days per week. In this role, you will report to the Director of Paralegal Services.

Essential Functions
  • Prepare and organize UCC financing statements, amendments, and terminations, and coordinate filings with appropriate state and local offices.
  • Assist with the preparation and review of corporate authorization documents, including resolutions, incumbency certificates, and good standing certificates for borrowers and guarantors.
  • Maintain and manage transaction checklists and closing timelines, coordinating with opposing counsel, lenders, and other parties to ensure all conditions precedent are satisfied prior to closing.
  • Draft and circulate signature pages, compile executed documents, and coordinate wire transfer confirmations and funding mechanics on closing day.
  • Conduct factual investigations, assist in due diligence review, and loan closings.
  • Collaborate directly with attorneys and clients in connection with a variety of corporate transactions.
  • Perform other responsibilities as assigned.
  • Work additional hours as needed to fulfill job requirements.

Skills/Qualifications
  • 3+ years of paralegal experience, specifically in finance or bankruptcy.
  • Bachelor’s degree, paralegal certification, or equivalent work experience required.
  • Experience in a legal environment or professional services required.
  • Understanding of Article 9, lien searches, filing, and resolution processes.
  • Knowledge of UCC filing requirements and procedures.
  • Ability to understand and digest lien search results.
  • Familiarity with PACER, efiling, and search processes.
  • Strong communication skills (verbal and written) with the ability to develop positive working relationships (in-person and virtually).
  • Meticulous attention to detail and accuracy.
  • Ability to manage multiple tasks with effective organizational skills.
  • Proven problem solving, critical thinking, and decision‑making skills.
  • Unquestioned integrity and professionalism.
  • Proficient in Microsoft Suite (Word, Excel, Outlook, Teams).
  • Proficient in web‑based conference call/web‑sharing applications.
Compensation

The salary range for this role is $70,000 - $110,000. Actual salaries will depend on a candidate's geographic location, relevant experience, and skillset. The salary range listed is just one component of Blank Rome’s total compensation package for employees. Other monetary rewards include annual discretionary bonuses based on performance and profit‑sharing contributions based on eligibility and firm profitability.
