Finance/Investment Attorney (Associate/Counsel) - Charlotte, NC (open to candidates who would like to relocate)
Our prominent law firm is seeking a highly skilled and motivated Finance/Investment Attorney to join our thriving practice in Charlotte, NC, a leading financial hub. This role offers an exceptional opportunity to work on sophisticated and impactful transactions within a collaborative and dynamic environment.
Key Responsibilities
- Represent a diverse range of clients including financial institutions, institutional investors, private equity firms, hedge funds, business development companies (BDCs), and public and private corporations.
- Advise on a broad spectrum of finance and investment matters, including:
- Debt Finance: Negotiating and drafting loan documents for secured and unsecured lending transactions, syndicated credit facilities, acquisition financings, leveraged finance, asset-based lending, repurchase facilities, and warehouse lending.
- Investment Funds: Assisting with the formation, structuring, and ongoing operations of various investment vehicles (e.g., private equity, hedge, real estate, hybrid, and venture capital funds), including drafting fund formation documents, offering materials, and investor agreements.
- Securities & Capital Markets: Providing guidance on legal and regulatory matters applicable to investment advisers, securities offerings, and compliance with federal and state securities regulations (e.g., Investment Advisers Act of 1940).
- Corporate Transactions: Supporting clients in debt and equity investment activities, control and growth equity investments, and advising portfolio companies on acquisition, divestiture, and financing transactions.
- Contribute to business development initiatives and thought leadership within the practice.
Qualifications
- Juris Doctor (J.D.) degree from an accredited U.S. law school. (LLM’s are not being accepted.)
- Active membership in good standing with at least one U.S. state bar; eligibility for admission to practice law in North Carolina is essential.
- 2-5 years of substantive legal experience in finance, investment management, structured finance, or private funds, preferably gained within a large law firm setting.
- Strong understanding of relevant legal and regulatory frameworks (e.g., Investment Advisers Act of 1940, federal and state securities laws).
- Exceptional analytical, legal research, and problem-solving skills.
