Ideal candidates have 3–5 years of experience representing banks and lenders, with a proven ability to draft and negotiate credit agreements and related documents, including venture debt and asset-based lending. Massachusetts Bar admission is required.

Qualifications

• 3–5 years of experience representing banks, private credit funds, and financial institutions in commercial lending transactions.
• Experience representing lenders in single-lender and syndicated credit facilities.
• Drafting and negotiating credit agreements, security agreements, guarantees, collateral documents, pledge agreements, intercreditor agreements, and related financing documentation.
• Experience with venture debt, acquisition finance, asset-based lending, second lien, or mezzanine financing.
• Proven track record in a fast-paced environment handling multiple transactions simultaneously.
• Strong communication skills, concise oral and written.
• Independent thinker who thrives in a team and assumes increasing responsibility.
• Member of the Massachusetts bar.

Representative Work

Work directly with clients on commercial lending matters. The Boston Lending and Financial Transactions group has 8 partners, 4 of counsel, and 12 associates and is adding another associate.

Who You Are

• 3–5 years of experience representing banks, private credit funds, and other financial institutions in commercial lending transactions
• Experience representing lenders in single-lender and syndicated credit facilities
• Experience drafting and negotiating credit agreements, security agreements, guaranties, collateral documents, pledge agreements, intercreditor agreements, and related financing documentation
• Experience with venture debt, acquisition finance, asset-based lending, second lien, or mezzanine financing
• Proven track record in a fast-paced environment handling multiple transactions simultaneously
• Able to communicate complex matters concisely and effectively, orally and in writing
• Strong attention to detail, process-oriented mindset, and commitment to client service
• Independent thinker who wants to work in a team environment and take on increasing responsibility
• Member of the Massachusetts bar

Preferred law schools: Harvard, Cornell, Georgetown, Yale, NYU, American University, UC Berkeley (Cal), George Washington University, UVA School of Law, Columbia, Boston College Law. Experience at a large national or AmLaw firm is preferred.

Associate Bonus Structure

• Unlimited pro-bono and inclusion hours, plus up to 100 pre-approved hours for knowledge management and business development, count toward bonus eligibility.
• Additional high-hour bonuses at 2,100, 2,300, and 2,500 hours, plus merit incentives for associates whose performance exceeds expectations.
• In 2025, high-hours awards added 10–40% to the base bonus and merit incentives added 10% or 20%; the most senior associates were eligible for bonuses of up to $218,200, inclusive of special bonuses.
