Job summary

Hirschler, a dynamic law firm, seeks an experienced Employee Benefits Attorney to join its Employee Benefits and Executive Compensation team. The attorney will advise private companies, tax-exempt organizations, fiduciaries, and business owners on ERISA, ESOP, and compensation matters, with a focus on designing competitive benefit programs.

Qualifications

• Admission to practice in Virginia or eligibility for admission.
• 5+ years of experience in employee benefits, executive compensation, ERISA, and related tax matters.
• Strong knowledge of ERISA, qualified and nonqualified retirement plans, executive compensation and equity-based plans, health and welfare plans, Section 409A compliance, retirement plan fiduciary matters.
• Excellent drafting, analytical, communication, and client counseling skills.

Responsibilities

• Advise clients on design, implementation, administration, and compliance of tax-qualified retirement plans and welfare benefit plans.
• Counsel on ESOP design and equity-based compensation.
• Assist with mergers, acquisitions, financings, restructurings, and other corporate transactions.
• Draft and negotiate executive employment and severance agreements.
• Advise on plan administration and regulatory compliance.
• Represent clients in IRS and Department of Labor matters.
