The position involves drafting, reviewing and negotiating a wide array of commercial agreements, including SaaS, vendor, marketing and confidentiality contracts, as well as supporting contract management and policy development.

Aufgaben

• Draft, review and assist in the negotiation of commercial agreements for day‑to‑day operations, including proposals, purchase orders, supplier agreements, consignment agreements, vendor contracts, marketing and revenue share agreements, SaaS contracts, and NDAs.
• Negotiate effectively with internal partners, external clients and other third parties.
• Assist in contract management, tracking amendments/addendums and renewal/termination deadlines.
• Develop, recommend and update standard legal language for internal client use.
• Draft and review terms and conditions, terms of use and privacy policies for e‑commerce sites.
• Assist in corporate filings including annual reports and DBA/fictitious name filings.
• Provide analysis and advice on commercial transactions, data protection/privacy and IP issues.
• Work with the VP of Legal Affairs to identify legal risks and develop pragmatic strategies.
• Collaborate with Risk Management and Compliance to minimize legal exposure.
• Assist outside counsel with filing and maintaining service marks/trademarks and with litigation matters.
• Assist with employment matters and provide guidance to HR on employment agreements and policies.
• Assist and coordinate aspects of commercial real estate transactions and lease reviews.
• Stay updated on legislative and regulatory requirements and recommend policy changes.
• Provide training on a range of legal and compliance topics.
